Overview
Welcome to Brü! These Terms of Service (“Terms”) govern your access to and use of the website, online store, and related services (collectively, the “Services”) provided by Clean Foods, Inc. (“Clean Foods,” “we,” “us,” or “our”), operating as Brü.
The Services include all information, content, features, tools, products, and services we offer to provide pet parents with high-quality consumable wellness products for dogs and a curated shopping experience.
Please read these Terms carefully, as they include important information about your legal rights, warranty disclaimers, and limitations of liability. They also reference our Privacy Policy and other policies (such as our Cancellation Policy and Returns Policy).
By visiting, browsing, purchasing from, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
Section 1 – Eligibility and Accounts
You represent that you are at least the age of majority in your state or province of residence (or older if required by applicable law). If you are under the age of majority, you may only use the Services with the consent and under the supervision of a parent or legal guardian.
To use certain features of the Services (such as placing orders), you may need to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You may not transfer, sell, or assign your account to anyone else.
Section 2 – Our Products
We strive to display our products accurately. However, colors, textures, and appearances may vary depending on your device, screen settings, and other factors. We do not warrant that the images or descriptions will exactly match the product you receive.
All product descriptions, pricing, and availability are subject to change at any time without notice. We reserve the right to discontinue any product, limit quantities, or refuse orders at our sole discretion.
Section 3 – Orders and Purchases
Placing an order constitutes an offer to purchase. We reserve the right to accept or decline any order for any reason. Your order is not binding until we send you an order confirmation and process payment.
You agree that your purchases are for personal or household use only and not for resale or commercial export unless we expressly agree otherwise in writing.
All orders are subject to our Cancellation Policy and Returns Policy.
Section 4 – Pricing and Payment
Prices displayed are in U.S. dollars and are subject to change without notice. The price you pay is the price shown at the time of checkout (excluding taxes, shipping, and handling unless stated otherwise).
You agree to provide accurate and complete payment information and to promptly update it as needed. You represent that you are authorized to use the payment method provided and that charges incurred will be honored by your payment provider.
Taxes, shipping, handling, and any other applicable fees will be added at checkout where required.
Section 5 – Shipping and Delivery
Shipping and delivery dates are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, weather, customs (if applicable), or other events beyond our reasonable control.
Title and risk of loss pass to you when we deliver the products to the carrier.
Section 6 – Intellectual Property
All content on the Services—including trademarks, logos, text, images, graphics, product reviews, videos, and the overall design—is owned by Clean Foods, Inc., our affiliates, or our licensors and is protected by U.S. and international intellectual property laws.
You may use the Services only for your personal, non-commercial purposes. You may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any part of the Services without our prior written consent.
No Reverse Engineering or Copying
You agree not to, and will not permit any third party to: reverse engineer, decompile, disassemble, analyze, or otherwise attempt to discover the formulation, composition, manufacturing process, or underlying know-how of any Brü products. This includes chemical analysis, ingredient sequencing, or any similar activity intended to replicate or create a competing product.
You further agree not to use any Brü product as a reference or starting point to develop, manufacture, or commercialize a substantially similar product.
Brü and all related names, logos, product names, and slogans are trademarks of Clean Foods, Inc. or our licensors. You may not use them without our express written permission.
Section 7 – Third-Party Tools and Services
We may provide access to third-party tools or services (such as payment processors, analytics, advertising pixels, or review platforms). These are provided “as is” without any warranties from us. We have no control over, and assume no responsibility for, the content, policies, or practices of any third-party tools or websites.
Your use of such third-party services is at your own risk and subject to their terms.
Section 8 – Third-Party Links
The Services may contain links to third-party websites or resources. We are not responsible for the content, accuracy, or practices of those sites. Accessing them is at your own risk.
Section 9 – User Content and Feedback
When you submit reviews, photos, videos, feedback, suggestions, or other content (“User Content”), you grant us a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute that content for any purpose, including commercial use and improving our products and Services.
You represent that you own or have the necessary rights to submit the User Content and that it does not violate any third-party rights or these Terms. We may, but are not obligated to, monitor or remove User Content at our discretion.
Section 10 – Prohibited Conduct
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws.
- Infringe our or any third party’s intellectual property rights.
- Transmit viruses, malware, or other harmful code.
- Engage in harassment, abuse, or harmful behavior toward our staff or other users.
- Use automated tools (including robots, scrapers, or AI agents) to access the Services except as expressly permitted.
- Attempt to circumvent any security or access controls.
We reserve the right to suspend or terminate your access to the Services at any time for any violation of these Terms.
Section 11 – Agent / Automated Access Rules
Any software, bot, or automated system (“Agent”) that accesses or interacts with the Services must clearly identify itself in the user-agent string (e.g., “Agent/[name]”) and must not conceal its automated nature, mimic human behavior to bypass restrictions, or circumvent any technical measures we use to control access.
We may block or limit any Agent access at our discretion.
Section 12 – Termination
We may terminate or suspend your access to the Services at any time, with or without notice, for any reason. You remain responsible for any amounts owed up to the date of termination.
Sections that by their nature should survive (including Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) will continue to apply after termination.
Section 13 – Disclaimer of Warranties
The Services and all products are provided “as is” and “as available” without any warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or secure. Some jurisdictions do not allow certain disclaimers, so they may not apply to you.
Section 14 – Limitation of Liability
To the fullest extent permitted by law, Clean Foods, Inc., our affiliates, officers, directors, employees, agents, and service providers (including Shopify) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from your use of the Services or any products purchased, even if advised of the possibility.
Our total liability to you shall not exceed the amount you paid to us in the twelve months preceding the claim.
Section 15 – Indemnification
You agree to indemnify and hold harmless Clean Foods, Inc., Shopify, and our respective affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your violation of law, or your use of the Services.
Section 16 – Changes to These Terms
We may update these Terms from time to time. We will post the revised version with a new “Last updated” date. Your continued use of the Services after changes constitutes acceptance of the new Terms. We will provide additional notice for material changes where required by law.
Section 17 – Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New Hampshire and applicable U.S. federal law, without regard to conflict of laws principles. You and Clean Foods, Inc. consent to the exclusive jurisdiction and venue of the state and federal courts located in New Hampshire.
Section 18 – General Provisions
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
- Waiver: Our failure to enforce any right does not constitute a waiver.
- Entire Agreement: These Terms (together with our Privacy Policy, Cancellation Policy, and Returns Policy) constitute the entire agreement between you and us.
- Assignment: You may not assign these Terms without our consent. We may assign them freely.
- Headings: Headings are for convenience only and do not affect interpretation.
